1. Agreement to these Terms
These Terms of Service ("Terms") govern your use of seollae.com (the "Site") and anypurchase of Seollae products. The Site is operated by UJULABS Holdings LLC, a Wyoming limited liability company doing business as Seollae ("Seollae," "we," "us" or "our").
By using the Site, joining our waitlist or placing an order, you agree to these Terms and toour [Privacy Policy]. If you do not agree, please do not use the Site.
Please read Section 12 carefully. It contains a binding arbitration agreement and classaction waiver that affect how disputes are resolved.
2. Eligibility
You must be at least 18 years old to use the Site or purchase our products. Our productsare intended for adults only. By using the Site, you confirm that you meet thisrequirement.
3. Accounts, Waitlist and Communications
If you create an account, you are responsible for keeping your login details secure and forall activity under your account.
When you join our waitlist or sign up for updates, you agree to receive emails from usabout Seollae, including launch news and offers. You can unsubscribe at any time usingthe link in any email. If you opt in to text messages, message and data rates may apply, andyou can reply STOP to opt out.
Joining the waitlist does not reserve a product, guarantee availability, or lock in a price.
4. Product Information and Health Disclaimer
Seollae products are dietary supplements. They are not intended to diagnose, treat, cureor prevent any disease.
These statements have not been evaluated by the Food and Drug Administration. Thisproduct is not intended to diagnose, treat, cure, or prevent any disease.
Content on the Site, including product descriptions, blog posts and FAQs, is for generalinformation only. It is not medical advice and does not replace advice from your doctor orother qualified healthcare provider. Talk to your healthcare provider before starting anysupplement, especially if you are pregnant or nursing, taking medication (including GLP-1medications), or managing a medical condition.
Always read the product label, follow the suggested use, and do not exceed therecommended serving. Individual results vary. Stop use and consult a healthcare providerif you experience any adverse reaction.
We work to keep product information accurate, but formulas, packaging and label detailsmay change. The label on the product you receive is the authoritative source foringredients and directions.
5. Orders, Pricing and Payment
All orders are subject to acceptance and product availability. We may refuse, limit orcancel any order, including orders that appear to be placed by resellers or that show signsof fraud. If we cancel an order after you have been charged, we will refund you in full.
Prices are listed in US dollars and may change at any time. The price that applies is theprice shown at checkout when you place your order. Applicable taxes and shipping feesare shown at checkout. If a product is listed at an incorrect price because of an error, wemay cancel the order and notify you.
You agree to provide accurate payment and billing information and authorize us, throughour payment processors, to charge your selected payment method.
6. Subscriptions and Automatic Renewal
If you choose a subscription,
your order will renew automatically and your paymentmethod will be charged at the subscription price, plus any applicable tax and shipping,at the interval you selected (for example, every month) until you cancel.
The price,interval and first charge date are shown at checkout before you confirm.
You can cancel at any time through your account at seollae.com or by emailing michelle@seollae.com. To avoid being charged for your next order, cancel before your next renewal date.Cancellation stops future orders; orders already processed or shipped are not refunded except as described in our Refund Policy.
We will notify you in advance of any change to your subscription price. If a renewalpayment fails, we may retry the charge or pause your subscription.
7. Shipping and Returns
We currently ship to addresses in [the United States]. Delivery estimates are notguaranteed. Title and risk of loss pass to you when the order is delivered to the carrier.
Returns and refunds are governed by our [Refund Policy], which is part of these Terms.For health and safety reasons, opened products may not be eligible for return except asstated in that policy.
Products purchased through third-party platforms, such as TikTok Shop, are also subjectto that platform's terms and return policies.
8. Intellectual Property
The Site and its content, including the Seollae name and logo, product names, text,images, videos and design, are owned by or licensed to Seollae and protected byintellectual property laws. You may view and share Site content for personal, non-commercial use. You may not copy, modify, sell or use it for commercial purposes withoutour written permission.
myHMB® is a registered trademark of TSI Group Co., Ltd. Other third-party trademarks onthe Site belong to their respective owners.
9. Your Content and Acceptable Use
If you send us reviews, comments, photos or other content, or tag Seollae on social media,you give us a non-exclusive, royalty-free, worldwide license to use, reproduce and displaythat content in connection with our business, including in marketing. You confirm that youown the content or have the right to share it, and that it is truthful.
You agree not to:
Use the Site for any unlawful purpose
Post false, misleading, offensive or infringing content, interfere with the Site's security or operation, or use bots or scrapers without permission, buy products for unauthorized resale, impersonate any person or misrepresent your connection to Seollae
10. Third-Party Links and Platforms
The Site may link to third-party websites and services, including social media andpayment providers. We are not responsible for their content, policies or practices. Youruse of them is at your own risk and subject to their terms.
11. Disclaimers, Limitation of Liability and Indemnification
Disclaimer.
THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE."TO THE FULLEST EXTENT PERMITTED BY LAW, SEOLLAE DISCLAIMS ALL WARRANTIES,EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FORA PARTICULAR PURPOSE AND NON-INFRINGEMENT. We do not guarantee anyparticular result from using our products, or that the Site will be uninterrupted or error-free.
Limitation of liability.
TO THE FULLEST EXTENT PERMITTED BY LAW, SEOLLAE AND ITSOWNERS, EMPLOYEES, PARTNERS AND SUPPLIERS WILL NOT BE LIABLE FOR ANYINDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISINGFROM YOUR USE OF THE SITE OR PRODUCTS. OUR TOTAL LIABILITY FOR ANY CLAIMWILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE PRODUCT GIVING RISE TO THECLAIM IN THE 12 MONTHS BEFORE THE CLAIM. Some jurisdictions do not allow theselimitations, so they may not fully apply to you.
Indemnification.
You agree to indemnify and hold Seollae harmless from any claims,losses and expenses, including reasonable legal fees, arising from your violation of theseTerms or misuse of the Site or products.
12. Dispute Resolution and Arbitration
If you have a concern, please contact us first at [CONTACT EMAIL]. Most issues can beresolved quickly this way. If we can't resolve it within 30 days, either party may beginformal proceedings as described below.
You and Seollae agree that any dispute arising from these Terms, the Site or our products will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court. Either party may instead bring an individual claim in small claims court if it qualifies.
You and Seollae each waive the right to a jury trial and to participate in a class action orclass arbitration.
You may opt out of this arbitration agreement by emailing michelle@seollae.com within 30 days of first accepting these Terms.
13. Governing Law
These Terms are governed by the laws of the State of Wyoming, without regard to itsconflict-of-law rules. Any matter not subject to arbitration will be brought in the state orfederal courts located in Wyoming.
14. Changes to These Terms
We may update these Terms from time to time. Changes take effect when posted on thispage, and the "Last updated" date will change. Material changes affecting activesubscriptions will be emailed to you in advance. Continuing to use the Site after changesare posted means you accept them.
15. General
If any part of these Terms is found unenforceable, the rest remains in effect. Our failure toenforce any provision is not a waiver. These Terms, with our Privacy Policy and RefundPolicy, are the entire agreement between you and Seollae regarding the Site.
